PLEASE READ THESE TERMS CAREFULLY. These Terms & Conditions (the “Terms”) are a binding agreement between you and Interstate Medicine LLC, a Texas limited liability company (“Interstate Medicine,” “we,” “us,” or “our”), governing your access to and use of the website at interstatemedicine.com and any related content, tools, planners, subscriptions, and courses (collectively, the “Services”). By accessing or using the Services, creating an account, or making a purchase, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Key notices. Section 6 explains that the Services provide general information and are not medical, legal, or compliance advice. Section 7 explains how continuing medical education (CME) credit works and who awards it. Section 5 contains automatic-renewal terms for paid subscriptions. Section 16 contains an arbitration agreement and a class-action waiver that affect your legal rights.

1. Who May Use the Services

The Services are intended for licensed healthcare professionals and others with a professional interest in continuing medical education and licensure requirements. You must be at least 18 years old and able to form a binding contract. You are responsible for ensuring your use complies with the rules of your licensing boards and employers.

2. The Services

The Services currently include, and may change to include:

We may modify, suspend, or discontinue any part of the Services at any time, and are not liable for doing so except as expressly stated in these Terms or required by law.

3. Accounts

You may need an account to use certain features. You agree to provide accurate information, keep it current, and keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly of any unauthorized use.

4. Purchases, Pricing, and Taxes

4.1 Pricing

Prices for courses and subscriptions are shown at the point of purchase and may change prospectively. Applicable taxes may be added based on your location.

4.2 Payment

Payments are processed by our third-party payment processor (e.g., Stripe). By purchasing, you authorize us and our processor to charge your payment method. We do not store full payment-card numbers.

4.3 Access

On payment, you receive a limited, personal, non-transferable license to access the purchased content for the applicable access period.

5. Pro Membership; Automatic Renewal; Cancellation

This Section is an automatic-renewal disclosure. Please read it carefully.

5.1 Recurring subscription; automatic renewal

Pro membership is offered on a recurring subscription basis (for example, annual). WHEN YOU ENROLL, YOU AUTHORIZE US (THROUGH OUR PAYMENT PROCESSOR) TO CHARGE YOUR PAYMENT METHOD THE THEN-CURRENT SUBSCRIPTION PRICE ON A RECURRING BASIS. UNLESS YOU CANCEL, YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH TERM, and we will charge your payment method on file for each renewal term until you cancel.

5.2 Length, price, and how to cancel

Before you enroll, we will present, clearly and conspicuously, the length of the term, the renewal frequency, the price, and how to cancel, and we will obtain your affirmative consent to these automatic-renewal terms. You may cancel at any time — including online through your account settings or by contacting us at help@interstatemedicine.com — and cancellation is effective at the end of the current billing term, with access continuing until then.

5.3 Notices; price changes

Where required by law, we will send you a reminder before a renewal and advance notice of any price change or material change to these terms, along with information on how to cancel. If a price increases, the new price applies only to renewal terms after the notice, and your continued subscription constitutes acceptance; otherwise you may cancel.

5.4 California and other state residents

If you reside in California or another state with automatic-renewal protections, you have the rights described above, including clear disclosure, affirmative consent, and an easy online cancellation mechanism, consistent with those laws.

5.5 Bundled membership

If a course purchase includes a bundled period of Pro membership, the membership will renew as a paid subscription after the included period unless you cancel. We will disclose this at purchase.

5.6 Refunds of subscription fees

Except as stated in Section 8 or required by law, subscription fees are non-refundable once a term begins.

6. Informational Purpose Only — Not Professional Advice

THE SERVICES PROVIDE GENERAL INFORMATION ONLY AND ARE NOT MEDICAL, LEGAL, TAX, OR COMPLIANCE ADVICE. State continuing-education and licensure requirements change frequently and vary by license type, specialty, and individual circumstances. The planner, requirements data, alerts, gap analyses, and audit packets are provided to help you organize information; they are not a substitute for verifying requirements directly with your licensing board(s) and are not a guarantee of compliance. You are solely responsible for meeting your licensing, continuing-education, and reporting obligations. We do not represent or warrant that any information is complete, current, or accurate for your situation, and we are not responsible for any board action, penalty, lapsed license, or other consequence arising from your reliance on the Services. Always confirm requirements with the relevant board before relying on them.

7. Continuing Medical Education (CME) Credit

7.1 Who awards credit

CME credit for accredited activities is designated and awarded by the accredited provider of record, in accordance with the standards of the Accreditation Council for Continuing Medical Education (ACCME) and other applicable accreditors. Interstate Medicine develops and hosts educational content and operates the platform, but credit is issued by the accredited provider subject to its rules.

7.2 Earning credit

To receive credit, you must complete the activity's requirements (which may include reviewing the material, completing any required assessment or attestation, and submitting an evaluation). Credit is awarded based on participation and is subject to the accredited provider's verification.

7.3 No guarantee of acceptance

We do not guarantee that any particular licensing board, employer, credentialing body, or specialty board will accept any credit for any specific requirement. You are responsible for confirming that an activity satisfies your requirement before relying on it.

8. Refunds and Cancellations

Except where otherwise required by law or stated at the point of sale: (a) course fees are refundable within 14 days of purchase only if you have not been issued a certificate of credit or completed more than a minor portion of the activity; and (b) subscription fees are handled under Section 5.6. To request a refund, contact help@interstatemedicine.com. We may decline refunds for content that has been substantially accessed or for which credit has been claimed.

9. Acceptable Use

You agree not to: (a) share, resell, or provide access to purchased content or your account to others; (b) copy, scrape, reproduce, distribute, or create derivative works from the Services except as expressly allowed; (c) reverse engineer or attempt to access non-public areas or data; (d) upload unlawful, infringing, or harmful content; (e) misrepresent your identity or credentials; (f) interfere with the security or operation of the Services; or (g) use the Services to violate any law or the rules of any board or accreditor.

10. Intellectual Property

10.1 Our content

The Services, including all software, text, course content, the requirements data and compilations, graphics, and trademarks, are owned by Interstate Medicine or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your own professional and personal use in accordance with these Terms.

10.2 Your content and feedback

You retain ownership of content you upload (such as certificates) and grant us a license to host and process it to provide the Services. If you give us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

11. Copyright Complaints (DMCA)

We respect intellectual-property rights. If you believe content on the Services infringes your copyright, send a notice to our designated agent with: (a) your signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that your notice is accurate and you are authorized to act. 12. Electronic Communications and Consent

12.1 E-SIGN consent

You consent to receive communications from us electronically — including agreements, notices, disclosures, and receipts — and agree that electronic communications and signatures satisfy any legal requirement that such communications be in writing.

12.2 Email

We send transactional messages (such as receipts, renewal reminders, and requirement-change alerts) and, where permitted, marketing emails you may opt out of at any time.

12.3 Text messages (if offered)

If you provide a mobile number and opt in, you consent to receive account or alert text messages; message and data rates may apply, and you may opt out by replying STOP. We will not condition the Services on your consent to marketing texts.

13. Third-Party Services and Links

The Services may link to or rely on third-party services (such as payment processing and email delivery) and link to state boards and agencies. We are not responsible for third-party services or sites, and your use of them is governed by their own terms.

14. Disclaimers of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY INFORMATION IS COMPLETE OR CURRENT. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

15. Limitation of Liability; Indemnification

15.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Interstate Medicine and its owner, officers, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or loss arising from missed continuing-education or licensure requirements, board actions, or reliance on the Services. Our total aggregate liability for any claim relating to the Services will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) US $100.

15.2 Indemnification

You agree to indemnify and hold harmless Interstate Medicine and its owner, officers, and contractors from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

16. Dispute Resolution; Arbitration; Class Waiver

16.1 Informal resolution

Before filing a claim, you agree to contact us at help@interstatemedicine.com and attempt to resolve the dispute informally for at least 30 days.

16.2 Binding arbitration

Any dispute not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Harris County, Texas, before a single arbitrator, except that either party may bring an individual claim in small-claims court. This Section is governed by the Federal Arbitration Act.

16.3 Class-action waiver

YOU AND WE AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any class proceeding.

16.4 Opt-out

You may opt out of this arbitration agreement by written notice to help@interstatemedicine.com within 30 days of first accepting these Terms.

17. Governing Law; Termination; Changes

17.1 Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs Section 16. Subject to Section 16, the state and federal courts in Harris County, Texas have exclusive jurisdiction over any matter not subject to arbitration.

17.2 Termination

We may suspend or terminate your access at any time for violation of these Terms or to protect the Services. Provisions that by their nature should survive will survive.

17.3 Changes

We may update these Terms from time to time. Material changes will be posted with a new “Last updated” date and, where required, notified to you. Your continued use after changes take effect constitutes acceptance.
